1. Definitions
Posthuma Partners
Posthuma Partners B.V., a company incorporated under Dutch law, trading under the name Posthuman.
Posthuman
The commercial brand platform and trade name under which Posthuma Partners B.V. provides its products and services.
Customer
Any natural person or legal entity that purchases licenses subscribes to or otherwise uses services software advisory or products provided by Posthuma Partners.
Services
All services provided under the Posthuman brand including consultancy advisory artificial intelligence services software tools digital platforms SaaS solutions workshops training research strategic advisory licenses and digital products.
Agreement
Any agreement between Posthuma Partners and the Customer relating to services software licenses advisory or other activities under the Posthuman brand.
2. Scope of Application
These General Terms and Conditions apply to all offers agreements services licenses and activities provided by Posthuma Partners B.V. under the trade name Posthuman.
These terms apply to consultancy advisory software and artificial intelligence services SaaS platforms digital products subscriptions licenses training and workshops.
Any terms and conditions used by the Customer are rejected unless agreed otherwise in writing.
These Terms automatically apply to all future agreements between Customer and Posthuma Partners.
Posthuma Partners may amend these Terms from time to time. Updated versions will be published on www.posthuman.nl and become effective thirty days after publication.
If any provision of these Terms is invalid or unenforceable the remaining provisions remain in full force.
3. Offers and Agreements
All offers proposals and quotations made by Posthuma Partners are non binding unless explicitly stated otherwise.
Offers remain valid for two months unless otherwise indicated.
An agreement is concluded when the Customer accepts a quotation places an order or starts using Posthuman services or software.
Information on websites presentations marketing materials or documentation is provided for informational purposes only and does not constitute a legally binding offer.
4. Prices and Payment
All prices are exclusive of VAT and other applicable taxes unless stated otherwise.
For subscription or recurring services Posthuma Partners may adjust pricing annually based on inflation consumer price index developments market conditions and technological costs.
Unless agreed otherwise invoices must be paid within fourteen days after the invoice date.
Complaints regarding invoices must be submitted within five working days after receipt.
Late payments incur statutory interest without prior notice.
Collection costs legal fees and administrative expenses may be charged to the Customer if payment obligations are not fulfilled.
5. Delivery and Performance
Delivery timelines are indicative unless explicitly agreed otherwise.
Exceeding a delivery timeline does not automatically constitute default.
The Customer must provide all information necessary to perform the services in a timely manner.
Delays caused by missing information or Customer decisions may result in adjusted delivery schedules.
6. Confidentiality
Both parties agree to treat confidential information received from the other party as confidential.
Confidential information includes business strategies algorithms software architecture datasets artificial intelligence models pricing structures and product roadmaps.
This confidentiality obligation remains in force after termination of the agreement.
7. Customer Responsibilities
The Customer must provide accurate and timely information use software and services responsibly ensure compliance with applicable laws and ensure appropriate system management and security.
The Customer remains responsible for the use of artificial intelligence outputs decisions made based on advice or data and integration of Posthuman tools in their organization.
8. Intellectual Property
All intellectual property rights relating to software artificial intelligence models algorithms data processing systems reports strategies frameworks and documentation remain the exclusive property of Posthuma Partners B.V.
The Customer receives a limited non exclusive and non transferable license to use services and materials.
The Customer may not reverse engineer software reproduce proprietary materials remove branding or intellectual property notices or disclose proprietary models or methods.
Artificial intelligence tools frameworks or systems provided by Posthuman remain proprietary technology.
9. Artificial Intelligence Disclaimer
Artificial intelligence services may produce probabilistic outputs.
Posthuma Partners does not guarantee accuracy completeness or suitability of artificial intelligence generated content.
Customers remain responsible for validation of outputs compliance with laws and ethical use of artificial intelligence tools.
10. Liability
The total liability of Posthuma Partners is limited to the total contract value of the relevant agreement.
Liability only covers direct damages.
Posthuma Partners is not liable for indirect damages including loss of profit lost data operational interruption reputational damage or lost opportunities.
Claims must be reported in writing as soon as possible after discovery of the damage.
11. Force Majeure
Posthuma Partners is not liable for failure to perform obligations due to circumstances beyond its control including internet outages cyber incidents supplier failure infrastructure disruption war strikes political events government regulation natural disasters or large scale technical failures.
In such situations Posthuma Partners may suspend services or terminate the agreement.
12. Duration and Termination
Agreements are entered for the agreed term.
Unless terminated in writing three months before the end date agreements may automatically renew.
Posthuma Partners may terminate the agreement immediately if the Customer fails to meet payment obligations becomes insolvent or violates intellectual property rights.
13. Governing Law
All agreements are governed by Dutch law.
Any disputes shall be submitted to the competent court in the Netherlands.
14. Artificial Intelligence Compliance
Posthuma Partners B.V. operating under the trade name Posthuman develops and provides artificial intelligence tools advisory and digital services in accordance with applicable European legislation including the EU Artificial Intelligence Act.
The Customer acknowledges that artificial intelligence systems may involve probabilistic outputs and automated processing.
Posthuma Partners aims to design and provide services in accordance with applicable safety transparency and governance standards.
Customers remain responsible for how artificial intelligence outputs are used within their organisation.
15. Transparency of AI Use
Where services involve the use of artificial intelligence systems Posthuma Partners will make reasonable efforts to inform the Customer that such systems are used.
Artificial intelligence generated outputs may include automated recommendations generated content or analytical results.
The Customer acknowledges that artificial intelligence generated content may require human review before use in operational legal financial or strategic decision making.
16. Responsible Use of Artificial Intelligence Systems
The Customer agrees not to use Posthuman services for purposes that violate applicable laws or regulations.
This includes unlawful surveillance manipulation of individuals or groups creation of unlawful or harmful content infringement of intellectual property rights or processing of personal data without a valid legal basis.
The Customer remains responsible for ensuring compliance with applicable data protection and regulatory obligations when using artificial intelligence systems.
17. Human Oversight
The Customer acknowledges that artificial intelligence tools provided by Posthuman are intended to support human decision making and are not intended to replace professional judgement.
The Customer is responsible for implementing appropriate human oversight when using artificial intelligence outputs in operational processes.
18. Data and Model Integrity
Customers shall not attempt to manipulate reverse engineer or extract underlying models datasets or system architecture used by Posthuman systems.
Customers shall not intentionally submit data designed to compromise the integrity security or performance of artificial intelligence systems.
Posthuma Partners may suspend or terminate services if misuse of artificial intelligence systems is detected.
